The terms that govern our digital development services, project workflow, payments, deliverables, and client relationships.

About Nosixt Studio

Nosixt Studio is an independently operated digital development studio led and managed by Nikhil Ray. Nosixt Studio may work with a team of individuals who assist with project development and related operations.

Our Services

Nosixt Studio provides digital development services, which may include:

  • Website development
  • Web application development
  • Custom APIs and integrations
  • E-commerce development
  • Frontend and backend development
  • Database integration
  • Other custom digital development services

The exact services, features, and deliverables for each project will be based on the scope agreed with the client.

Project Scope

Before development begins, the project requirements and scope will be discussed and agreed upon between the client and Nosixt Studio.

The agreed scope may include pages, features, functionality, design requirements, integrations, technical requirements, content, and other project deliverables.

Requests that fall outside the agreed scope may be treated as additional work and may require additional charges or a revised timeline.

Project Advance

A 20% advance payment of the total agreed project amount is required before development begins.

The advance confirms the client's intention to proceed and allows Nosixt Studio to allocate development time and resources to the project.

Nosixt Studio is not required to begin development until the agreed advance payment has been received.

Development & Preview

After the project begins, Nosixt Studio will work on the project according to the agreed scope and requirements.

A preview or review version may be provided to the client during or toward the completion of development.

The preview allows the client to review the implemented work against the agreed project scope.

Review & Remaining Payment

After reviewing the project, the client may communicate reasonable changes or corrections relating to the agreed project scope and requirements.

Once the project has been completed according to the agreed scope, the remaining 80% of the total project amount becomes payable.

The project balance must be paid before final files, source code, credentials, or other agreed final deliverables are transferred.

Revisions & Additional Work

Revisions relating to the originally agreed scope may be discussed during the review process.

Requests that introduce new features, substantially change approved functionality, add new pages, or otherwise extend the original scope may be considered additional work.

Additional work may require an additional fee, a revised timeline, or separate confirmation before development continues.

Final Delivery

Final project files and agreed deliverables will be provided after 100% of the agreed project payment has been received.

Depending on the project agreement, final delivery may include:

  • Source code
  • Project files
  • Build files
  • Website files
  • API files
  • Credentials or access information
  • Other specifically agreed deliverables

The exact deliverables depend on the agreement made for the individual project.

Client Responsibilities

The client is responsible for providing information, content, assets, credentials, approvals, and other materials reasonably required for the project.

Delays caused by missing information, delayed responses, unavailable credentials, or delayed approvals may affect the project timeline.

The client is responsible for ensuring that materials provided to Nosixt Studio do not knowingly violate third-party intellectual property rights or applicable laws.

Third-Party Services

Projects may use third-party services, platforms, APIs, hosting providers, payment gateways, databases, domains, or other external services.

Nosixt Studio is not responsible for outages, policy changes, pricing changes, restrictions, security incidents, or other issues caused by third-party providers.

Where applicable, the client may be responsible for maintaining their own third-party accounts and subscriptions.

Payments

All project prices and payment schedules will be communicated and agreed upon before development begins.

Unless otherwise agreed:

  • 20% is payable before development begins.
  • 80% is payable after completion of the agreed project scope and before final delivery.
  • Final deliverables are not required to be transferred until the full project amount has been paid.

Failure to make a required payment may result in work or final delivery being paused until payment is received.

Cancellation

If a client chooses to cancel a project after development has begun, the work already performed and resources allocated to the project may be considered when determining any outstanding amount.

The 20% advance is intended to reserve development time and initiate the project. Its treatment in the event of cancellation may depend on the circumstances and work already performed.

Any cancellation or refund arrangement will be communicated between the client and Nosixt Studio based on the specific circumstances of the project.

Intellectual Property

Unless otherwise agreed, Nosixt Studio retains rights to its pre-existing code, reusable components, development systems, libraries, tools, workflows, and general technical knowledge.

Upon full payment, the client receives the rights to use the specifically agreed project deliverables for the intended purpose of the project.

Third-party software, libraries, fonts, assets, APIs, and other materials remain subject to their respective licenses and terms.

Portfolio Use

Unless the client specifically requests otherwise and Nosixt Studio agrees to the request, Nosixt Studio may display completed project work in its portfolio, website, social media, case studies, or promotional materials.

Confidential information that has not been made public will not intentionally be disclosed as part of portfolio presentation.

No Guarantee of Business Results

Nosixt Studio develops digital products and systems according to the agreed requirements but does not guarantee specific business results.

This includes, but is not limited to:

  • Revenue
  • Sales
  • Leads
  • Search-engine rankings
  • Advertising performance
  • User growth
  • Conversion rates

Such outcomes may depend on factors outside the development work, including marketing, market conditions, competition, content, third-party platforms, and client decisions.

Website & Service Availability

Nosixt Studio will make reasonable efforts to provide reliable development services.

However, Nosixt Studio does not guarantee that websites, applications, APIs, or other digital systems will always operate without interruption, bugs, security vulnerabilities, or downtime.

Where an issue is caused by a defect in work delivered by Nosixt Studio and falls within the agreed project scope, Nosixt Studio may review and address the issue as reasonably appropriate.

Limitation of Responsibility

Nosixt Studio will not be responsible for losses caused by circumstances outside its reasonable control, including third-party service failures, hosting outages, domain issues, payment-provider problems, client-provided code or content, unauthorized modifications, or misuse of the delivered system.

Clients are responsible for maintaining appropriate access controls and protecting credentials provided to them.

Changes to These Terms

Nosixt Studio may update these Terms & Conditions from time to time. The latest version published on this page will apply to future projects and interactions unless a separate written agreement states otherwise.

Governing Law

These Terms & Conditions are intended to be governed by the applicable laws of India.

Any dispute will first be attempted to be resolved through direct communication between the client and Nosixt Studio.
